OBJECTIVES

 The Companies Act 2006 has been said to be the most radical rethink of company law since the 19th century.  Is it?  And could the changes made by it provide opportunities for us to rethink some practical aspects of running a company? The course will:

  • cover all the major areas of change introduced by the Companies Act 2006
  • explain why they have happened
  • consider their effect on the day-to-day running of a company.
  • suggest some practical action which can be taken by companies’ management and their accountants to bring their business up to date and take advantage of the opportunities that the Act provides.

 Everyone – practitioners and accountants in business – who works in a company or deals with companies and who is therefore affected in some way by company law and by the changes made in the 2006 Act.

  • The government’s objectives in reforming company law: enhancing value for shareholders; the need to ‘think small first`; making it easier to set up and run a company; flexibility for the future
  • Starting a company: incorporation and formation of a company; memorandum and articles; raising capital – shares and debentures; written resolutions and the exemptions for removal of an auditor or director
